Special Terms for Display Ads and
Paid Cold Traffic and Retargeting

Thank you for choosing First Page Corporation.  Please read through the Special Terms for Display Ads and Paid Cold Traffic and Retargeting below, and the standard Terms of Service at this link before using our websites or registering for services.  By using our websites or services or clicking “I agree to the Terms and Conditions” or "Pay Now" you indicate that you understand and agree to be bound by these Terms.  If you do not agree to these Terms, do not register for, or use the services.

YOU MAY CANCEL A TRANSACTION WITH FIRST PAGE CORPORATION WITHOUT ANY PENALTY, EXCEPT AS PROVIDED BY LAW, WITHIN 3 BUSINESS DAYS AFTER THE TRANSACTION. IF YOU CANCEL, ANY PAYMENTS MADE BY YOU WILL BE RETURNED WITHIN 14 DAYS FOLLOWING RECEIPT BY FIRST PAGE CORPORATION OF YOUR CANCELLATION NOTICE, AND ANY SERVICE UNDERWAY WILL BE TERMINATED.  YOUR RIGHT TO CANCEL FOR A FULL REFUND LASTS UNTIL MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE TRANSACTION. SATURDAY IS CONSIDERED A BUSINESS DAY, BUT SUNDAYS AND FEDERAL HOLIDAYS ARE NOT. TO CANCEL YOU MUST REQUEST A REFUND IN WRITING BY CONTACTING support@FirstPageCorp.com BEFORE MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE TRANSACTION.


This Agreement sets forth Your rights and obligations as a User of First Page Sites and Services. You wish to be provided with First Page Sites & Services defined below by First Page and further defined in the standard Terms of Service by First Page, and First Page agrees to provide First Page Sites & Services to You by the Terms of this Agreement.

I. Definitions

A. “First Page” means First Page Corporation, the owner of First Page Corporation and other trademarks. In this Agreement, references to “First Page” as a Party mean and refer to First Page Corporation, and First Page Corporation’s owner(s), parent company(ies), affiliate entities, employees, and assigns.


B. “Parties” means First Page and You. First Page and You are each a “Party.”

C. “Terms” mean and refer to First Page Terms of Service, and these Special Terms for Display Ads and Paid Cold Traffic and Retargeting, and First Page Sites and Services Terms and Conditions

D. “User” refers to a person or entity who has created an Account with First Page. “User Account” refers to a User’s Service Account.

E. “You” and “Your” and "I" means the First Page User who has executed this Agreement by clicking "Pay Now" or “I Agree to the Terms and Conditions.”

F. “First Page Services” and “First Page Sites and Services” mean and refer to this site and/or certain individual or package plan marketing services as more fully outlined in First Page’s written or emailed quote or described on First Page’s websites or package plan pages whereas First Page grants You a limited, non-exclusive, non-transferable, revocable license to use services and sites owned and provided by First Page subject to the Terms herein.


G. "Ad Design or Ad(s)" refers to the design of a static display ad or static display ad set, and/or motion ad(s) included in First Page's quote. Online ads can be designed for Branding a business, service, or product, or for a business's Lead Procurement Offer. Both can provide visibility for a business. A Branding Ad contains the name of the business, logo, and slogan, and may contain an excerpt from a good review for social proof. For known businesses, a Branding Ad can achieve top-of-mind awareness. For unknown businesses, a Branding Ad can achieve awareness and can have higher success when combined with other forms of advertising. A Lead Procurement Offer Ad contains the name of the business, a logo, an attractive robust offer or free lead magnet, and a call to action (CTA). A Lead Procurement Offer Ad can achieve opt-in form or phone-in leads and can have higher success when served often and repeatedly served with retargeting Ads.

H. "Spit Testing" refers to designing and placing two (2) or more alternating Ads. The goal of A/B Split Testing is to test and improve upon the clickthrough rate of the Ads, and that all Ads pull similar weighting. Using the top-ranking Ad, First Page multiplies its score by forty-five (45%) percent. If the lower-scoring Ad(s) fall below that number, First Page will re-design the Ad(s) at no charge to You and begin A/B Split Testing again. If the Ads pull similar weight, they continue to run. If You request a re-design of Ads that are pulling similar weight, extra ad design fees will be recharged.

I. "Paid Traffic" refers to the placement of Ad(s) on Ad Exchanges and/or Ad Networks and/or Social Media Networks for serving said Ad(s) to cold viewers and/or re-targeted viewers. Cold Traffic Ads are served to online viewers in selected locations and by demographics and interests. Retargeting Ads are served, via a tracking pixel, to online viewers who have clicked on Cold Traffic Ads and have arrived on Your Landing Page. Retargeting Ads can also be served, via a tracking pixel, to online viewers who have visited Your website.

J. "Traffic Campaign Period" is the length of time each campaign is contracted to run which is ninety (90) days.

K. "Landing Page" refers to a single page site designed and hosted by First Page to receive clickthroughs from Ads, gives further details of the ad's offer, and provides a form that a prospect can enter their contact information. (only provided if included in quote)

L. "Landing Page Hosting" refers to the monthly landing page hosting and licensing as more fully outlined in First Page’s quote whereas First Page grants You a limited, non-exclusive, non-transferable, revocable license to use the Landing Page site owned and provided By First Page subject to the Terms herein.

II. First Page Ad Design

For Branding Ad(s), You agree to provide First Page with the following:
  • Name of business
  • Logo
  • Slogan
  • Excerpt of genuine good customer review
For Lead Procurement Offer Ad(s), You agree to provide First Page with the following:
  • Name of business
  • Logo
  • A compelling, attractive, robust offer applicable to Your service or product, or contract First Page for a lead magnet strategy
  • Call to Action (CTA) phone number, email address for notifications, URL (if not contracting a Landing Page)

First Page will design the base Ad(s) that features either Your Branding or Your Lead Procurement Offer. If You have contracted for two (2) or more Ads, Split Testing will be provided. (Split Testing cannot be provided for single Ads). First Page will present the preliminary Ad(s) to You for approval. Upon approval, First Page will re-design the Ad(s) into various sizes to accommodate all networks. Final drafts will be presented to You for approval. 

III. First Page Paid Traffic

First Page will discuss with You the locations and demographics to serve Your Ad(s). First Page will place Your Cold Traffic Ad(s) and/or Your Retargeting Ad(s) on the Exchanges and/or Networks and will review, analyze, and select the demographic selectors available for your service or product. Once placed with the Exchanges and/or Networks, Ad(s) begin to run within 24 to 48 hours. First Page will study the analytical results weekly. If through analysis it is determined that Ad(s) modifications should be made, First Page will make such changes. Paid Traffic Campaign Periods run in ninety (90) day segments. At least Fifteen (15) days before the end of a ninety (90) day campaign period, a decision is needed from You to:


  1. Keep the same campaign and run it for the next ninety (90) days (default),
  2. Change the campaign and run it for the next ninety (90) days, or
  3. Pause the campaign.
After the fifteen (15) day prior period has elapsed, if You have not provided notice to change or pause the campaign, the campaign will automatically renew for subsequent ninety (90) day Traffic Campaign Periods. Campaign pauses shall be for a maximum time period of thirty (30) days. All payments shall remain current during a campaign pause. Un-allocated funds from a campaign pause shall be applied to the resumption of the campaign.
A. Policy: When You contract a Paid Traffic campaign from First Page, First Page makes a commitment to First Page's advertising partners for the length of Your Traffic Campaign Period. Because First Page is making this commitment on Your behalf, and incur costs as a result, First Page does not offer refunds.

If You elect to cancel the Paid Traffic campaign early, First Page will continue to invoice You and does not provide a refund for the remainder of the ninety (90) day segment, or billing period for the canceled Paid Traffic Campaign Period.

B. Malfunction: In the event of a service malfunction of Ad(s) served online, First Page's sole remedy for the malfunction is re-running the Ad(s) for a period of time equal to the period of the malfunction. Examples of a malfunction would be when an Ad's CTA is clicked on, the viewer is not taken to the proper Landing Page or other URL specified, or the wrong phone number is published on the Landing Page. To be considered a "malfunction", You must report the malfunction to support@FirstPageCorp.com while the Paid Traffic Campaign is still active and the malfunction must be verified by First Page. The final determination as to whether a report qualifies as a malfunction is at First Page's sole and absolute discretion.

~~i. First Page Paid Traffic is a local awareness advertising tool. The service is functioning properly when it serves and delivers localized Ad views. The service is not designed to be a direct "lead generation" tool. As such, if Your campaign does not deliver leads or phone calls to You, that does not qualify as a malfunction.

~~ii. First Page uses digital advertising best practices to geographically target Your Ad(s) to cities, or zip codes, or computer IP addresses. This advertising technology may not be accurate one hundred percent of the time and Your Ad(s) may occasionally appear in neighboring zip codes. In this event, Your Ad(s) are still targeted to the correct zip codes, but the industry standard technology that translates an IP address into a zip code has provided a false positive. Because Your Ad(s) are targeted properly by First Page, this does not qualify as a malfunction.

~~iii. The sale of advertising views is an approximation and First Page does not represent, warrant, or guarantee that an exact number of advertising views will be provided.


FIRST PAGE OFFERS YOU NO GUARANTEE OF INCREASED LEADS OR PHONE CALLS AS A RESULT OF THE DISPLAY OF ADVERTISEMENTS PREPARED BY FIRST PAGE FOR YOU.

THE SALE OF ADVERTISING VIEWS IS AN APPROXIMATION AND FIRST PAGE DOES NOT REPRESENT, WARRANT, OR GUARANTEE THAT AN EXACT NUMBER OF ADVERTISING VIEWS WILL BE PROVIDED.


IV. First Page Landing Page Design

If applicable, First Page will design a Landing Page with Your business's logo and an appropriate URL. The Landing Page will feature and describe Your offer and include an opt-in form for viewers to enter their contact information. Lead notification will immediately be sent to You at Your email address. A retargeting pixel will be dropped in the viewer's browser. If You have not contracted with First Page for a Landing Page, You shall provide First Page with a URL to direct Paid Traffic clickthroughs to.


V. Change Order Requests

The Parties may request a modification to the Ad Design or Landing Page design (if included) during the design phase by including desired changes in a written “Change Order Request” that explains the changes and the adjustment to the payment for the Services that will result from such changes, agreed to by both parties.

VI. Scheduling

First Page Ad Design and Landing Page Design and Paid Traffic placement will be completed timely per the schedule outlined in First Page’s quote or addendum.

VII. First Page Landing Page Hosting

First Page Landing Page Hosting includes licensing fee, image royalties, server charges & bandwidth, SSL certificate & renewals, daily backup, virus protection, periodic A/B split testing & analytics (requires two (2) or more ads), minor changes/updates, optimization updating, and system diagnostics, updates & maintenance.

Minor changes/updates can include minor text changes or minor image changes. Minor changes/updates shall not include section additions, or changes to sections, design, color, theme, or new imagery, content or image manipulation, etc. Major changes may be requested. If changes are feasible, a quote will be provided.


VIII. Payment

The Set Up Fee shall be paid with the first Initial payment and ongoing automatic recurring payments for Your First Page Sites and Services shall be paid on the same date of each month by credit/debit card (VISA, MasterCard, American Express, and Discover) no later than the monthly due date. At all times You agree to keep a valid credit/debit card, with available funds, on file with First Page's third-party payment processor. You agree that Your credit/debit card shall be set to automatically charge/debit each month.

First Page uses Stripe (third-party payment processor) a secure payment gateway, which meets and exceeds the most stringent standards for security, to process card transactions on First Page's behalf. First Page does not store card details on First Page's sites. All payment data is securely stored by a third-party PCI-compliant payment gateway. Your connection is securely encrypted with full SSL encryption over HTTPS.

PAST-DUE AMOUNTS. Any payment not made when due will be subject to a reasonable late charge not to exceed the highest rate allowed by law on the unpaid invoice. If Your account is delinquent, First Page may refer the account to a collection agency or attorney that may pursue collection of the past due amount in accordance with this Agreement. If First Page is required to use a collection agency or attorney to collect any amount owed by You, You agree to pay all reasonable costs of collection or other action. The remedies set forth herein are in addition to and not in limitation of any other rights and remedies available to First Page under this Agreement or at law or in equity.​​​​​​​

IX. Term and Termination

Your User contract with First Page begins when You click “I Agree” or "Pay Now," and will continue for the duration of the ninety (90) day Traffic Campaign Period and subsequent renewed ninety (90) day Traffic Campaign Periods until either:

A. First Page cancels Your account due to Your breach of any of the Terms of this Agreement.  In the event this Agreement is cancelled due to Your breach, You will not be entitled to pro-rate Your last Traffic Campaign Period, nor will You be entitled to any refund for any payments You have made to First Page.
OR
B. You provide First Page with at least thirty (30) days’ prior e-mail advance notice prior to the ninety (90) day Traffic Campaign Period renewal date, to support@FirstPageCorp.comof the cancellation of Your account. If You provide such notice less than thirty (30) days before Your renewal date, Your credit card may still be charged. Upon cancellation You will not be entitled to pro-rate Your last ninety (90) day Traffic Campaign Period use, nor will You be entitled to any refund for any payments to First Page. Notice is considered delivered when received by First Page during First Page's regular office hours. See XIII. Notice below.
OR
C. Your credit/debit card or First Page’s charge is denied or payment is not received for any reason, and You do not provide First Page a new credit/debit card or provide payment within seven (7) days. During and/or after said seven (7) days First Page may pause working on Your Paid Traffic campaign including analytics. Your Landing Page may show an “Under Construction” notice when Your Landing Page domain URL is searched. To remove the “Under Construction” notice and reinstate Your Landing Page service a $75 reinstatement fee shall be charged and all payments shall be brought current.

First Page reserves the right to suspend or cancel First Page Sites and Services at any time if You fail to pay amounts owing when due, violate or breach any of the Terms, or for any other reason at First Page’s sole discretion. If First Page Sites and Services are suspended or canceled by First Page, You will still be responsible for payment of all outstanding balances accrued through the remainder of the ninety (90) day Traffic Campaign Period or through the thirty (30) day period following the notice of cancellation, whichever occurs last, including any additional fees accrued as described herein. Upon termination of First Page Sites and Services, You will no longer have access to First Page Sites and Services.

Cancellation of First Page Sites and Services revokes Your license and ends Your rights thereunder. In case of such cancellation, You will cease use of the First Page Sites and Services before Your Traffic Campaign Period renewal date. The Terms that by their sense and context are intended to survive performance by either or both parties shall so survive the performance and termination of the license, including without limitation those Terms relating to warranty limitations, limitation of liability, remedies or damages, or First Page’s proprietary rights.


X. Copyright Notice

During the term of the license, First Page shall include the following copyright notice to be displayed on the Landing Page(s) footer that can be viewed by a user: “© 202X [Your Business Name] All Rights Reserved. [Your Business Address]. Terms of Service. Privacy Policy

XI. Ownership Rights and Grant of License

All proprietary information and logos, photos, images, and domain names supplied by You shall remain Your property and may not be used by First Page for any other purpose except for Your benefit. First Page expressly retains full ownership of all source code, object code, and programming code, including all associated rights to use such code, software, screens, documentation, digital programming, operating instructions, design concepts, content, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, domain names, characters, systems, computer programs and all Intellectual Property Rights related thereto. First Page grants You a limited, non-exclusive, non-transferable, revocable license to use the First Page Ad Design(s), Paid Traffic Campaign(s), and Landing Page(s) under this agreement. You acknowledge and agree that: (1) First Page Sites and Services are exclusively owned by First Page; (2) You do not acquire any ownership rights in the First Page Sites and Services; (3) You may not modify, publish, transmit, participate in the transfer or sale, or create derivative works from the content of the First Page Sites and Services; and (4) You may not copy, redistribute, publish, display or commercially exploit any material from the First Page Sites and Services. To the extent You breach any of the terms referenced herein, Your rights will be immediately terminated without notice.

XIII. Notice

Notices are considered delivered when received by First Page during First Page's regular office hours which are Monday through Friday 8:00 AM to 5:00 PM Pacific Time, excluding holidays. Any notice required to be given to First Page under or related to these Terms must be in writing, addressed as follows:
