Special Terms for Lead Magnet Services

Thank you for choosing First Page Corporation. Please read through the Special Terms for Lead Magnet Services below, and the standard Terms of Service at this link before using our websites or registering for services. By using our websites or services or clicking “I agree to the Terms and Conditions” or "Pay Now" you indicate that you understand and agree to be bound by these Terms. If you do not agree to these Terms, do not register for, or use the services.
YOU MAY CANCEL A TRANSACTION WITH FIRST PAGE CORPORATION WITHOUT ANY PENALTY, EXCEPT AS PROVIDED BY LAW, WITHIN 3 BUSINESS DAYS AFTER THE TRANSACTION. IF YOU CANCEL, ANY PAYMENTS MADE BY YOU WILL BE RETURNED WITHIN 14 DAYS FOLLOWING RECEIPT BY FIRST PAGE CORPORATION OF YOUR CANCELLATION NOTICE, AND ANY SERVICE UNDERWAY WILL BE TERMINATED. YOUR RIGHT TO CANCEL FOR A FULL REFUND LASTS UNTIL MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE TRANSACTION. SATURDAY IS CONSIDERED A BUSINESS DAY, BUT SUNDAYS AND FEDERAL HOLIDAYS ARE NOT. TO CANCEL YOU MUST REQUEST A REFUND IN WRITING BY CONTACTING support@FirstPageCorp.com BEFORE MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE TRANSACTION.
This Agreement sets forth Your rights and obligations as a User of First Page Lead Magnet Services. You wish to be provided with First Page Lead Magnet Services defined below by First Page and further defined in the standard Terms of Service by First Page, and First Page agrees to provide First Page Lead Magnet Services to You by the Terms of this Agreement.
I. Definitions
A. “First Page” means First Page Corporation, the owner of First Page Corporation and other trademarks. In this Agreement, references to “First Page” as a Party mean and refer to First Page Corporation, and First Page Corporation’s owner(s), parent company(ies), affiliate entities, employees, and assigns.
B. “Parties” means First Page and You. First Page and You are each a “Party.”
C. “Terms” mean and refer to First Page Terms of Service, and these Special Terms for Lead Magnet Services, and First Page Sites and Services Terms and Conditions
D. “User” refers to a person or entity who has created an Account with First Page. “User Account” refers to a User’s Service Account.
E. “You” and “Your” and "I" means the First Page User who has executed this Agreement by clicking "Pay Now" or “I Agree to the Terms and Conditions.”
F. "First Page Lead Magnet Services" refers to online eBooks and other services designed, licensed and hosted by First Page as more fully outlined in First Page's written or emailed quote whereas First Page grants You a limited, non-exclusive, non-transferable, revocable license to use Lead Magnet Services owned and provided by First Page subject to the Terms herein.
G. "First Page Lead Magnet Research" refers to First Page's research and identifying the subject matter and topic, outline preparation, content research, writing, curating and editing content and researching graphics and images for the eBook.
H. "First Page Lead Magnet Design" refers to First Page's design format, color selections formulation, graphics and content insertion, cover design, hyperlink placement and activation, and rendering to First Page's publishing server for the eBook included in First Page's quote.
I. "eBook" is a virtual or digital book, guide, report, checklist, fact sheet, pamphlet or brochure made available in electronic form, consisting of text, images, or both, that can be read on the flat panel display of a computer, tablet, smartphone or other electronic devices rather than in print, consisting of 4 to 20 pages or more. An eBook may contain hyperlinks to email addresses and other URLs.
J. "First Page Lead Magnet Licensing" refers to the monthly lead magnet licensing whereby First Page is granting You a limited, non-exclusive, non-transferable, revocable license to use First Page Lead Magnet Services, owned and provided by First Page subject to the terms of this agreement and the Terms of Service and as more fully outlined in First Page's quote and Lead Magnet E-Book Marketing Agreement, or addendum.
K. "First Page Lead Magnet Hosting" refers to the monthly lead magnet hosting on First Page's publishing server as more fully outlined in First Page’s quote.
II. First Page Lead Magnet Design and Setup
You agree to provide First Page with the following:
I. Definitions
A. “First Page” means First Page Corporation, the owner of First Page Corporation and other trademarks. In this Agreement, references to “First Page” as a Party mean and refer to First Page Corporation, and First Page Corporation’s owner(s), parent company(ies), affiliate entities, employees, and assigns.
B. “Parties” means First Page and You. First Page and You are each a “Party.”
C. “Terms” mean and refer to First Page Terms of Service, and these Special Terms for Lead Magnet Services, and First Page Sites and Services Terms and Conditions
D. “User” refers to a person or entity who has created an Account with First Page. “User Account” refers to a User’s Service Account.
E. “You” and “Your” and "I" means the First Page User who has executed this Agreement by clicking "Pay Now" or “I Agree to the Terms and Conditions.”
F. "First Page Lead Magnet Services" refers to online eBooks and other services designed, licensed and hosted by First Page as more fully outlined in First Page's written or emailed quote whereas First Page grants You a limited, non-exclusive, non-transferable, revocable license to use Lead Magnet Services owned and provided by First Page subject to the Terms herein.
G. "First Page Lead Magnet Research" refers to First Page's research and identifying the subject matter and topic, outline preparation, content research, writing, curating and editing content and researching graphics and images for the eBook.
H. "First Page Lead Magnet Design" refers to First Page's design format, color selections formulation, graphics and content insertion, cover design, hyperlink placement and activation, and rendering to First Page's publishing server for the eBook included in First Page's quote.

K. "First Page Lead Magnet Hosting" refers to the monthly lead magnet hosting on First Page's publishing server as more fully outlined in First Page’s quote.
II. First Page Lead Magnet Design and Setup
You agree to provide First Page with the following:
- Name of Business
- Logo, artwork, and other images for use in Your branding
- Contact Information - Preferably NAP (name, address, phone number) used in GBP (Google Business Profile)
- Email address to receive lead notifications and alerts
- Social Media URLs
- Photographic Images (please see PHOTO Dos and DON'Ts document)
- Good reviews
- Key personnel bios
- List of geographical areas (countries, regions, states, cities, neighborhoods, areas) You service
- Information regarding any consumer financing You offer
- Any previous marketing information that You use that is currently relevant
- Anything or any processes that makes You different from Your competitors
- Outine for points that may be researched for Lead Magnet Design and any other supporting information
First Page will research and design a Lead Magnet eBook as more fully outlined in First Page’s quote. First Page will present the preliminary draft to You on a Zoom call. After making any necessary changes First Page will present the final draft to You for approval.
Note: Visibility Plan subscribers receive a fifty (50%) percent discount on First Page Lead Magnet Research and Design.
III. Change Order Requests During Design
The Parties may request a modification to the First Page Lead Magnet Design during the design phase by including desired changes in a written “Change Order Request” that explains the changes and the adjustment to the payment for the Services that will result from such changes, agreed to by both parties.
IV. Scheduling
First Page Lead Magnet Research and Design will be completed timely per the schedule outlined in First Page’s quote, Lead Magnet E-Book Marketing Agreement, or addendum.
V. First Page Lead Magnet Licensing
First Page will license the Lead Magnet eBook to You in accordance with First Page's Intellectual Property License, Permitted Use and Public Relations Marketing Strategy as more fully outlined in First Page's quote, Lead Magnet E-Book Marketing Agreement, or addendum.
A. Permitted Use. First Page shall provide You with a URL link to the eBook. Subject to the licensing and hosting fees, You may use the said link in the following:
1. First Page Traffic Ad Campaigns*
2. First Page Facebook and other social media Ad Campaigns
3. First Page Retargeting Ad Campaigns
4. First Page Landing Pages associated with the above campaigns
* for Paid Traffic Ad Campaigns of 50k impressions or higher, You will not be charged the monthly licensing fee
5. Your website
6. Your social media
7. Your email
8. Directories**
9. Other websites**
10. Other advertising**
** You shall obtain First Page's consent before placement. All monthly licensing fees must be paid for the entire length of the advertising period, with a minimum of 3 months.
B. Public Relations Marketing Strategy. As owner and author of the eBook, First Page's name and contact information in the eBook will be substituted with Your name and contact information as a public relations strategy for Your prospects and the public for the term of this agreement.
VI. First Page Lead Magnet Hosting
First Page Lead Magnet Hosting includes server charges & bandwidth, SSL certificate & renewals, daily backup, virus protection, and system diagnostics, updates & maintenance.
Note: Visibility Plan subscribers receive a fifty (50%) percent discount on First Page Lead Magnet Hosting while remaining Visibility Plan subscribers.
VII. Change Order Requests After Publication
Changes may be requested. If changes are feasable, a quote will be provided.
VIII. Payment
First Page shall provide an invoice for Your choice of full payment or the first fifty (50%) percent payment to begin the First Page Lead Magnet Research, Design and Setup. Any balance plus the 1st month of First Page Lead Magnet Licensing and First Page Lead Magnet Hosting is due at launch. First Page Lead Magnet Licensing and First Page Lead Magnet Hosting shall be an automatic recurring payment and shall be paid on the same day of each month by credit/debit card (VISA, MasterCard, American Express, and Discover) no later than the monthly renewal due date. At all times You agree to keep a valid credit/debit card, with available funds, on file with First Page's third-party payment processor. You agree that Your credit/debit card shall be set to automatically charge/debit each month.
First Page uses Stripe (third-party payment processor) a secure payment gateway, which meets and exceeds the most stringent standards for security, to process card transactions on First Page's behalf. First Page does not store card details on First Page's sites. All payment data is securely stored by a third-party PCI-compliant payment gateway. Your connection is securely encrypted with full SSL encryption over HTTPS.
IX. Term and Termination
Your User contract with First Page begins when You click “I Agree” or "Pay Now," and will continue month-to-month after a 3-month minimum period until either:
A. First Page cancels Your account due to Your breach of any of the Terms of this Agreement. In the event this Agreement is cancelled due to Your breach, You will not be entitled to pro-rate Your last month’s use, nor will You be entitled to any refund for any payments You have made to First Page.
OR
B. You provide First Page thirty (30) days’ e-mail advance notice, to support@FirstPageCorp.com, of the cancellation of Your account. If You provide such notice less than thirty (30) days before Your renewal date, Your credit card may still be charged. Upon cancellation You will not be entitled to pro-rate Your last month’s use, nor will You be entitled to any refund for any payments to First Page.
OR
C. Your credit/debit card or First Page’s charge is denied or payment is not received for any reason, and You do not provide First Page a new credit/debit card or provide payment within seven (7) days. During and/or after said seven (7) days First Page may pause Your First Page Lead Magnet Services. To reinstate Your First Page Lead Magnet Services a $75 reinstatement fee shall be charged and all payments shall be brought current.
First Page reserves the right to suspend or cancel First Page Lead Magnet Services at any time if You fail to pay amounts owing when due, violate or breach any of the Terms, or for any other reason at First Page’s sole discretion. If First Page Lead Magnet Services are suspended or canceled by First Page, You will still be responsible for payment of all outstanding balances accrued through the remainder of the billing month or through the thirty (30) day period following the notice of cancellation date, whichever occurs last, including any additional fees accrued as described herein. Upon termination of First Page Lead Magnet Services, You will no longer have access to First Page Lead Magnet Services.
Cancellation of First Page Lead Magnet Services revokes Your license and ends Your rights thereunder. In case of such cancellation, You will cease use of the First Page Lead Magnet Services before Your renewal date. The Terms that by their sense and context are intended to survive performance by either or both parties shall so survive the performance and termination of the license, including without limitation those Terms relating to warranty limitations, limitation of liability, remedies or damages, or First Page’s proprietary rights.
X. Purchase of eBook
After licensing for 90 days, You may apply to purchase the eBook from First Page in place of continued licensing as more fully outlined in First Page's Lead Magnet E-Book Marketing Agreement. Upon purchase First Page shall provide You with all files for the eBook and a statement transferring ownership to You. You may utilize the eBook in any manner You wish including self-hosting. Should You wish to continue using First Page's Lead Magnet Hosting, First Page will host the eBook at First Page's current Lead Magnet Hosting rate.
XI. Copyright Notice
During the term of the license, First Page shall include the following copyright notice to be displayed on the eBook that can be viewed by a user: “© 202X [Your Business URL] All Rights Reserved.”
XII. Ownership Rights and Grant of License
All proprietary information and logos, photos, images, and domain names supplied by You shall remain Your property and may not be used by First Page for any other purpose except for Your benefit. First Page expressly retains full ownership of all source code, object code, and programming code, including all associated rights to use such code, software, screens, documentation, digital programming, operating instructions, design concepts, content, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, domain names, characters, systems, computer programs and all Intellectual Property Rights related thereto. First Page grants You a limited, non-exclusive, non-transferable, revocable license to use the First Page Lead Magnet Services under this agreement. You acknowledge and agree that: (1) First Page Lead Magnet Services is exclusively owned by First Page; (2) You do not acquire any ownership rights in the First Page Lead Magnet Services ; (3) You may not reproduce, re-engineer, distribute, modify, upload, post, transmit, participate in the transfer or sale, or create derivative works from the content of the First Page Lead Magnet Services in any way whatsoever; and (4) You may not copy, redistribute, publish, republish, display or commercially exploit any material from the First Page Lead Magnet Services. To the extent You breach any of the terms referenced herein, Your rights will be immediately terminated without notice and You shall be liable for any such breach pursuant to the applicable laws.

XIV. Notice
Any notice required to be given to First Page under or related to these Terms must be in writing, addressed as follows:
